1. Introduction
Welcome to Jaza Africa Connect (“we,” “us,” “our”). These Terms & Conditions (“Terms”) govern your access to and use of our platform, website (https://jazaafrica.com), APIs, and services, including bulk SMS, bulk airtime, USSD, shortcodes, bulk WhatsApp, smart school/church/property management systems, and web development (“Services”) (jazaafrica.com).
By using our Services, you agree to be bound by these Terms. If you disagree, please do not use our Services.
2. Eligibility
You affirm that you are at least 18 years old, or of legal age in your jurisdiction, and have legal capacity to form binding contracts.
3. Account Registration
- To use our Services, you need to register an account and provide accurate information.
- You are responsible for maintaining the confidentiality of your login credentials, and for all activities on your account.
- Notify us immediately if you suspect unauthorized-access.
4. Services Use
You agree to use the Services lawfully and responsibly. Prohibited activities include (but are not limited to):
- Violating laws or regulations.
- Sending unsolicited or illegal communications.
- Impersonating others or infringing third-party rights.
- Disrupting our systems or APIs.
- Bypassing security, reverse engineering, or abusing Services.
5. Service Descriptions & Availability
Our Services include bulk messaging (SMS, WhatsApp), airtime distribution, USSD integration, shortcodes, and specialized management systems (Jaza).
We strive for 24/7 API uptime, robust performance, and prompt technical support (jazaafrica.com).
We may modify, pause, or discontinue any service or feature at our discretion.
6. Fees & Payment
- Usage-based fees apply to bulk messaging, airtime distribution, shortcode leasing, and platform subscriptions.
- Airtime services may earn commissions (e.g., 3% over KES 10,000, 2% for lower amounts) (payaza.africa, Bulk Airtime).
- Fees are charged via your chosen payment methods. All amounts are non-refundable unless specified.
7. SMS & Airtime Delivery
- We connect directly with mobile operators and telecoms for reliable message delivery (Jaza, Bulk SMS).
- Delivery times, success rates, and performance may vary.
- For shortcodes, setup requires documentation (e.g., certified letters, ID) (Bulk SMS).
8. API Usage
- APIs (SMS, airtime, USSD, WhatsApp) require valid API keys and partner IDs (API Docs, jazaafrica.online).
- Developers must follow API guides for calls, scheduling, response handling, and error management.
9. Intellectual Property
- All content, trademarks, software, and materials are owned or licensed by us.
- You may not copy, modify, distribute, reverse-engineer, or use them except as explicitly allowed in documentation.
10. User Content
- Any content, messaging templates, recipient lists, customization data, or uploads are yours.
- You grant Jaza Africa a worldwide, royalty-free license to use, store, and transmit this data solely to deliver Services.
- You are responsible for compliance with data protection and anti-spam laws.
11. Privacy & Data
Your use of personal and usage data is governed by our Privacy Policy, which explains collection, usage, storage, disclosure, and retention practices.
12. Termination
- We reserve the right to suspend or terminate your account or use of Services if you violate these Terms.
- You may also terminate by closing your account.
- Termination does not relieve you of payment obligations incurred prior to termination.
13. Warranty Disclaimer
Services are provided “as-is” without any guarantees of performance, availability, or compatibility.
We disclaim all implied warranties, including merchantability or fitness for a particular use.
14. Limitation of Liability
To the extent permitted by law, Jaza Africa shall not be liable for indirect, punitive, special, incidental, or consequential damages.
Our total liability for direct damages shall not exceed the total fees paid by you in the 12 months preceding the claim.
15. Indemnification
You agree to indemnify and hold harmless Jaza Africa, its affiliates, and employees against liabilities, losses, damages, costs, and expenses arising from your misuse of the Services, breach of these Terms, or violation of any law.
16. Governing Law & Dispute Resolution
These Terms are governed by the laws of Kenya.
Any dispute shall be resolved in the courts of Kenya.
17. Changes to Terms
We may update these Terms at any time. The updated version will be posted at https://jazaafrica.com and effective immediately upon posting. Continued use implies acceptance.
